“Knowing my business clients well is the key to building and maintaining long-term relationships.”

-Attorney Lisa Kavalhuna

As a business lawyer for over 25 years, 20 of which with Hertz Schram PC and as a partner on our business law team, I invoke a guiding principle – know your client. It’s simple yet imperative. I advise individuals and start-ups to mid-tier closely held businesses in various industries and business matters. I understand that while many individuals and businesses that I counsel present similar needs and issues, no two clients or transactions are the same. The best way to benefit my clients, in combination with extensive and efficient legal services regardless of the size or industry, is to do the work necessary to know them. Know the players – owners, executive team, and professional advisors. Know the history. Know the goals.

I use my client knowledge to often serve as “outside-in house counsel” to businesses and their key team members and individual business owners to navigate day-to-day matters such as organization, management, governance, and compliance; hiring and termination of employees or independent contractors and other human resource initiatives; terms and conditions for customers, supplier, and lending relationships; joint venture partners and other contractual business relationships;  raising capital through private offerings; nondisclosure and restrictive covenant protections; ownership disputes, and mergers and acquisitions. I collaborate with other professional advisors such as accountants and financial advisors to add value to today’s initiatives, while planning for future goals, whether the goal is growth by merger or acquisition or the separation of business owners or the sale of the business.

I also work closely with individuals to review and negotiate employment or independent contractor agreements, including nondisclosure and noncompete obligations, separation from employment agreements, investments in business ventures, and related matters.  I use my knowledge of my clients’ circumstances to assist them in identifying other matters requiring attention and I work with other members of the Hertz Schram team to fully address my clients’ needs.

Lisa played an invaluable role, as both an attorney and a counselor, in the last several years of my career. Like many small business owners, I had neither prepared my business for my exit nor kept up with pension and estate planning opportunities and possible pitfalls over the years. First, she clarified my organizational structure and strengthened my entity’s documents so that I had a viable choice as to whether I would sell the business or implement a succession plan. Simultaneously, she steered me (with the assistance of her partners) through implementation of a highly advantageous pension plan and vastly improved estate planning documents. She always kept my personal well-being in mind as I repeatedly course-corrected. She often helped me see the path to get out of my own way. Ultimately, I completed a succession with which I am more than pleased on a personal level in terms of the legal and financial matters and which is consistent with the way I wanted to take care of my family and my employees.
