As a business lawyer for over 25 years, 20 of which with Hertz Schram PC and as a partner on our business law team, I invoke a guiding principle – know your client. It’s simple yet imperative. I advise individuals and start-ups to mid-tier closely held businesses in various industries and business matters. I understand that while many individuals and businesses that I counsel present similar needs and issues, no two clients or transactions are the same. The best way to benefit my clients, in combination with extensive and efficient legal services regardless of the size or industry, is to do the work necessary to know them. Know the players – owners, executive team, and professional advisors. Know the history. Know the goals.
I use my client knowledge to often serve as “outside-in house counsel” to businesses and their key team members and individual business owners to navigate day-to-day matters such as organization, management, governance, and compliance; hiring and termination of employees or independent contractors and other human resource initiatives; terms and conditions for customers, supplier, and lending relationships; joint venture partners and other contractual business relationships; raising capital through private offerings; nondisclosure and restrictive covenant protections; ownership disputes, and mergers and acquisitions. I collaborate with other professional advisors such as accountants and financial advisors to add value to today’s initiatives, while planning for future goals, whether the goal is growth by merger or acquisition or the separation of business owners or the sale of the business.
I also work closely with individuals to review and negotiate employment or independent contractor agreements, including nondisclosure and noncompete obligations, separation from employment agreements, investments in business ventures, and related matters. I use my knowledge of my clients’ circumstances to assist them in identifying other matters requiring attention and I work with other members of the Hertz Schram team to fully address my clients’ needs.
